Georgia does not file your operating agreement, but you should sign one. It sets ownership, voting and what happens if a member leaves. Our Pro and Complete packages include one.

Courts look at whether you treated your LLC or corporation as a separate company. A corporate kit with seal, membership or stock certificates and a minutes/records binder keeps your operating agreement or bylaws, resolutions and ownership records in one place, which is the paper trail that helps protect the corporate veil. It is not a guarantee of liability protection and not legal advice. The kit is $79 plus shipping, charged at checkout only if you add it.

Every Georgia LLC and corporation files an annual registration between January 1 and April 1. The state charges $60 ($50 fee plus the $10 service charge). Filing after April 1 adds a $25 late penalty, and continued failure leads to administrative dissolution. You can prepay up to 3 calendar years at once.
